Terms of Service
These Terms are an agreement between you and AFTERIMAGE, INC. ("we", "us"), the California company operating Overnight. By selecting the agreement checkbox and confirming acceptance, you agree to these Terms. The Privacy Policy explains our data practices; acknowledging it is not consent to advertising or a waiver of privacy rights.
1. Eligibility and accounts
The beta is for United States residents age 13 or older. If you are 13–17, your parent or legal guardian must review these Terms and agree to your use with you. A parent/guardian agreeing with a teen agrees to supervise and authorize that use to the extent permitted by law. We do not intend to waive minors' nonwaivable rights. Do not register if you are under 13. Supply accurate eligibility information; protect your account and notify us of suspected unauthorized access. You may not share access to someone else's account or impersonate another person.
2. The service and beta limitations
Overnight helps organize personal and creative work. Planning suggestions and savings entries are informational, not professional advice, a promise of success, a bank account or custody of funds. You remain responsible for deadlines and decisions. The beta may change, be interrupted or contain errors. Keep copies of important information. Do not rely on Overnight for emergencies or safety-critical operations.
3. Your content and our software
You retain your rights in content you enter. You give us a limited, nonexclusive permission to host, store, process, display and transmit that content solely to provide, secure and support Overnight and meet legal obligations. This does not transfer ownership or authorize advertising use or AI-model training. You must have the rights needed for content you provide and must respect others' privacy.
AFTERIMAGE, INC. and its licensors retain their rights in Overnight's original software, branding, artwork and text. We grant you a limited permission to use the service for its intended purpose under these Terms. Do not copy or distribute protected material without permission, remove required ownership notices, or imply our endorsement. General ideas and functionality are not claimed as exclusive copyright. Third-party components remain governed by their own licenses; nothing here restricts rights those licenses or applicable law grant you.
4. Acceptable use
Do not use Overnight for unlawful conduct, infringement, harassment, unauthorized access, malicious code, evading access controls or disrupting the service. Do not upload highly sensitive credentials or records. Good-faith security reports are welcome at our support address; avoid accessing other people's information, disrupting service or publicly disclosing their data. External links and identity/payment providers have their own terms. A recognized link does not imply partnership or endorsement.
5. Testing, trials and subscriptions
Real-money billing is not enabled in this beta. Test checkout and membership previews do not create real charges. Use only test payment details. Current test offers show a seven-day editing trial beginning with the first saved project, then $4.99 USD monthly or $39 USD annually. Existing tester access may differ. These are test offers, not a demand for payment or authorization for future real charges.
We will not convert a test subscription into real billing automatically. Before any live paid service, we will provide its price, taxes if applicable, billing interval, trial conversion date, renewal terms, cancellation instructions and applicable refund policy and obtain the required affirmative consent. Only an adult with authority to use the payment method may authorize a future paid subscription for a teen. New live-payment terms require a separate launch and consent process.
For test subscriptions, Account → Membership → Cancel membership opens Stripe's cancellation flow. Cancellation is complete only when Stripe confirms it. Optional feedback or offers need not be accepted. Cancellation stops renewal; it is separate from deleting an account. Trial expiration or cancellation pauses editing according to displayed access dates without itself deleting saved workspace data. Viewing and export remain available while the service and your account are available, subject to Section 6. If billing controls fail or you cannot sign in, contact us; do not assume opening a link canceled anything.
6. Retention, ending use and service changes
You may stop using Overnight or request deletion at overnight@afterimage.inc. Export first if you want a copy. We verify deletion requests and coordinate active systems; limited legal/security records and provider backup copies may remain as explained in our Privacy Policy. You can access privacy/support instructions without agreeing to new terms. Declining updated terms may prevent new edits but does not itself delete saved work.
We may limit or suspend access for material misuse, security risks or legal requirements. Where practical, we will explain the reason and provide a way to contact us. We may modify or discontinue the beta. For planned closure or material retention reductions, we will seek to provide reasonable notice and an export opportunity where practical. We cannot promise permanent storage, uninterrupted access or recovery of every lost edit.
7. Warranties and responsibility
To the fullest extent permitted by law, the beta is provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose or noninfringement. We do not guarantee error-free operation, achievement of goals or uninterrupted storage. These qualifications do not excuse obligations that cannot lawfully be excluded or reduce rights you have under applicable consumer law.
8. Limits of liability
To the fullest extent permitted by law, neither party will be liable to the other for indirect, incidental, special or consequential damages arising from these Terms or the service. Our aggregate liability arising from the service is limited to the greater of $100 USD or the amounts you paid us for Overnight during the 12 months before the event giving rise to the claim. These limits do not apply to fraud, willful misconduct, gross negligence, or liability or remedies that cannot lawfully be limited, and do not restrict your statutory privacy or consumer rights. Some jurisdictions do not permit certain exclusions, so those exclusions may not apply to you.
9. Disputes and governing law
Please contact overnight@afterimage.inc so we can try to resolve a concern. Contacting us first is not a condition to exercising legal rights, filing a complaint or seeking urgent relief. California law governs these Terms, subject to applicable mandatory protections and federal law. These Terms do not impose mandatory arbitration or a class-action waiver and do not restrict access to a court that has jurisdiction.
10. Updates and general provisions
We will publish dated changes and seek renewed acceptance of materially changed Terms before continued editing where appropriate. Changes do not apply retroactively to an existing dispute without agreement. If part is unenforceable, the remainder applies to the extent permitted by law. A failure to enforce a provision is not a waiver. These Terms govern Overnight, not unrelated AFTERIMAGE, INC. services. Questions, accessibility requests and legal notices: overnight@afterimage.inc.
